AGREEMENT TO OFFICAL RULES
By participating in the Woozy Idol Contest (the "Contest"), each Participant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Contest.
WHO MAY ENTER
The Contest is open to musical performers—bands or individual artists—who are legal residents of the 50 United States and the District of Columbia, and who are 18 years of age or older with internet access at the time of entry. The individual artist or band entering the Contest is referred to as an "Entrant". Only Entrants logging onto the Internet from within the 50 United States and the District of Columbia are eligible to enter the Contest. You may not participate if you are not a legal U.S. resident and physically located within the US at the time of entry.
Employees of Sponsor are NOT ELIGIBLE to participate in the Contest as an Entrant. All federal, state and local laws and regulations apply.
CONTEST ENTRY PERIOD
The Contest entry period (the "Contest Period") begins at 12:00:00 midnight Eastern Standard Time ("EST") on March 15, 2008 (the “Contest Commencement Date”) and continues until 11:59:59 pm EST on May 15, 2008. All Entries must be received by 11:59:59 pm EST on May 15, 2008. Any Entries not received within the Contest Period will be disqualified.
HOW TO ENTER
Entering is free and available for all eligible Entrants. An official Contest Entry is the signing up to get a WOOZYFLY.com “BANDS” profile ("Entry"). One way you can do this is by visiting the WOOZYFLY.com contest page at http://www.woozyfly.com/contests (the "Contest Site") and clicking “CLICK TO ENTER” on the Woozy Idol banner located on the center of the page, which will connect you to a sign up page where you can sign up to get a WOOZYFLY.com band profile. You can also be connected to the sign up page by visiting the WOOZYFLY.com home page at http://www.woozyfly.com and clicking “GET A PROFILE” on the menu bar. After you are connected to the sign up page, you must select “band” or “band with a live show”, fill out all required fields of the sign up form, and click “SIGN UP” to sign up to get your profile and enter the Contest.
Every musical performer who has signed up to get a band profile on the WOOZYFLY.com website prior to the Contest Commencement Date and who is eligible on the Contest Commencement Date will automatically be entered in the Contest as of the Contest Commencement Date, and their band profile will be considered their Entry. If you already have a band profile and do not wish to be considered an entrant in the Contest, send an e-mail to newsletter@woozyflyinc.com with “Opt-out” in the subject line to remove yourself from participation in the Contest.
Any musical performer who signs up to get a band profile on the WOOZYFLY.com website during the Contest Period, and who does not wish to be considered an entrant in the Contest, may send an e-mail to newsletter@woozyflyinc.com with “Opt-out” in the subject line to remove himself, herself or itself from participation in the Contest.
If you have signed up to get a Fan or EJ profile prior to the Contest Commencement Date and you are eligible to enter the Contest, you must upgrade your profile to a “band” or “band with a live show” profile to be entered in the contest. You can upgrade your account at any time by clicking the “edit profile” button on your existing profile.
Limit: one (1) Contest Entry per individual artist or band. Incomplete, multiple, invalid or duplicate entry submissions will be disqualified. Each valid entry will be viewable by the public and eligible for judging as described below.
Band Entrants must designate one (1) representative band member to submit the Contest Entry on the band's behalf ("Band Designee"). Each band Entrant agrees and acknowledges that the Band Designee: (1) is authorized to submit an Entry on the band's behalf; (2) accepts responsibility for accurate representation of his or her band; and (3) is responsible for any issues that may arise from participation in this Contest. Band Designees must identify each band member at time of Entry by listing members in the “About Me” section of the Entrant’s profile.
By uploading any:
- text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content")
- you hereby grant to WOOZYFLY.com a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute your Content solely on and through the WOOZYFLY.COM website as provided by the WOOZYFLY.com Terms of Use Agreement.
Entries are only accepted online and must be received during the Contest Period. The Entrant must use a valid email address during registration. The authorized account holder of the email address used to submit the Entry will be deemed the Entrant and, in the case of band Entrant’s, will be considered the Band Designee. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.
CONTENT SUBMISSION GUIDELINES
All audio and audio-visual Content uploaded to an Entrant’s profile must meet the following guidelines:
- Each audio file must be in .mp3, .wav, .wma, .m4a, .aac format;
- Each video file must be in .flv, .mp4, .mpg, .avi, .mov, .wmv, .m4v, .3gp format;
- Each Entry, including all Content, must be suitable for display and publication in all forms of media, including but not limited to the Internet, the World Wide Web, print, radio, and network, cable or satellite television broadcast. Accordingly, Content submissions must be dignified, modest and in good taste, may not be obscene or indecent, including but not limited to profanity, must not contain any offensive or defamatory statements including but not limited to words and symbols that might be considered offensive to individuals of any race, ethnicity, religion, sexual orientation or socioeconomic group, must not include threats to any person, place, business, group or world peace, it must not invade privacy or other rights of any person, firm or entity, must not include any third party trademarks or copyrighted materials, including brand names, logos, text or other similar materials, it must not portray Sponsor or Sponsor's brands, services, or products in any way that might tend to subject any of them to public contempt, scandal, disrepute or ridicule, and it must not in any other way violate any applicable laws, rules or regulations or network standards. Sponsor reserves the right to make determinations of suitability in its sole and absolute discretion, and to remove and disqualify any Entry it determines to be inappropriate for any of the reasons listed above, or for any other reason at Sponsor's sole discretion.
WINNER SELECTION
One (1) Grand prize winner will be selected by a panel of judges and Woozyfly.com staff. Judging will begin on May 16, 2008 and will continue until 11:59:59 pm EST on June 30, 2008.
The winner will be selected based on the following criteria:
- Forty percent (40%) on the quality of the music audio and video content on the Entrant’s profile;
- Forty percent (40%) on the number of fans on the Entrant’s profile;
- Ten percent (10%) on the creativity of the Entrant’s profile design and layout;
- Ten percent (10%) on the number of fan comments left on the Entrant’s profile page.
The Judges are Michael Bull of Caroline Distribution; Jane Grodd Bronstein, A&R executive of JGB Entertainment; Duncan Hutchison, EVP of WOOZYFLY.com; Andrew Krents, music industry attorney; Eric LeMasters of Koch Entertainment Distribution; Elliot Goykhman of Payplay.fm digital retailers; Jamie Roberts of Big Machine Media; Joel Simon, owner of JSM Studios; David Steel of Steel Synch music licensing agency; and Daniel Wilk, VP Business Development of Defiance Entertainment.
DECLARATION OF WINNER
One (1) Grand Prize Winner (the “Winner”) will be declared by Sponsor on or about June 30, 2008 (the "Declaration Date") on the Contest Site (http://www.woozyfly.com/contests).
TOTAL PRIZES AND VALUES
The panel of judges will select one (1) Grand Prize Winner. Prizes consist of only those items specifically listed as part of the prize. No substitution or election of cash in lieu of prize is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable at the discretion of Sponsor. All federal, state and local taxes, installation, and any other fees or expenses associated with any prize are the sole responsibility of the winner. All prizes are non-transferable. All Prize winners must sign income tax and any other required documents within ten (10) days of attempted notification or prize may be forfeited and an alternate may be selected.
The following GRAND PRIZE PACKAGE will be awarded to the one (1) Grand Prize Winner (total estimated prize value up to US$150,000):
- 10 hours of studio time at JSM Music Studios in NYC during which the Sponsor’s professional sound engineers will record your musical performances (the “Session”);
- Ownership of the musical files recorded during the Session, including master recordings of each song performed during the Session, professionally mixed by the Sponsor’s professional mixers (the “Winner’s Masters”);
- A professional video shoot (the “Shoot”) recorded during the Session, of your performance of one or more of the songs performed during the Session;
- Ownership of the video footage recorded during the Shoot, and of one (1) professional, edited and mixed video produced by Sponsor from the footage taken during the Shoot (the “Winner’s Video”);
- A DVD master copy of the Winner’s Video;
- Song distribution and registration via iTunes, eMusic, Rhapsody, napster, music.com, amazonmp3.com, groupie tunes and Payplay.fm;
- Featured placement on selected digital retail sites;
- Free promotion of the Winner’s Video via public relations, viral marketing, and website marketing via WoozyFly.com;
- Introduction to 10 label A&R Executives;
- $1,000 cash prize.
PRIZE NOTIFICATION
The Sponsor will attempt to contact the Winner by e-mail on or about the Declaration Date. If Sponsor is unable to contact the Winner, or if notification is returned as undeliverable, for any reason beyond Sponsor's control, the Winner will be disqualified, Winner's prize shall be forfeited, and a substitute Winner may be selected under Sponsor's sole discretion.
PRIZE DELIVERY
Allow 2-4 weeks from the Declaration Date for delivery of the cash prize, estimated between July 1, 2008 and July 25, 2008. The cash prize will be shipped to an address specified by Winner at the time of prize notification, unless otherwise indicated by Winner before shipment. Sponsor assumes no responsibility for lost, late, damaged, misdirected, illegible, incomplete or delayed shipment of the cash prize or incorrect postal address. The transaction components of the prize will be scheduled in consultation with the Winner.
PUBLICITY CONSENT
As a condition of winning the Grand Prize, the Winner of the Contest will be required to grant the Sponsor the right to use the Winner's name, and approved biographical information, photograph, likeness, voice, statements and/or image, as well as the Winner’s Masters and the Winner’s Video, solely for advertising, publicity and promotion purposes, without territorial, time or use limitations, including without limitation online announcements, without additional compensation unless prohibited by law.
GENERAL CONDITIONS
The Contest will be governed by these rules and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. By participating in this Contest, the Entrant agrees that he/she has no right to bring (and covenants and agrees not to bring) any claim, action, or proceeding of any kind or nature whatsoever against Sponsor and its parent company, affiliated companies, subsidiaries, divisions, advertising and promotion agencies, and all of their respective agents, employees, directors, officers, shareholders, successors and assigns (collectively "Releasees") in connection with the Contest. By entering and/or accepting prizes, Entrants agree to be bound by the Official Rules and the Sponsor's decisions and to release all Releasees from any and all liability, loss, injury, or damage of any kind arising out of or in connection with their participation in the Contest or with the respect to awarding, receipt, possession, use and/or misuse of any prize or participation in any prize-related activities. Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right at its sole discretion, to disqualify any individual who (i) tampers with, or attempts to tamper with, the entry process; or (ii) violates any of these Official Rules.
INTERNET
Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor and/or Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to computers, Entrant's or any other person's computer or any other property, relating to or resulting from participation in the Contest or downloading any materials in the Contest. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal Entries.
PRIVACY POLICY
Any personal information supplied by you to WOOZYFLY.com is subject to WOOZYFLY.com’s privacy policy posted at http://www.woozyfly.com/terms-and-disclosures, unless prohibited by WOOZYFLY.com's privacy policy or by law, by entering the Contest, you grant WOOZYFLY.com permission to share your email address and any other personally identifiable information with Contest administrators for the sole purpose of Contest administration, judging and prize fulfillment. WOOZYFLY.com will not sell, rent, transfer or otherwise disclose your personal data to any third party other than as explicitly described herein.
This online Contest is sponsored by WOOZYFLY.com, a division of CJ Vision Enterprises, Inc., located at 59 W. 19th Street, 6th Floor, New York, NY 10011. All decisions of the Sponsor’s management in connection with this Contest are final and binding on Entrants.
